Item 4 of the Schedule 13D is hereby amended and supplemented by adding the following: On February 19, 2025, pursuant to the Put-Call Agreement, the Sellers exercised the right to require the Buyer to purchase from the Sellers 8,793,826 shares of Class A Common Stock at a price equal to $6.25 per share. On February 20, 2025, the transfer of the 8,793,826 shares of Class A Common Stock from the Sellers to the Buyer was completed.
