Item 4 — Purpose of Transaction

On October 10, 2025, GBL sent a letter to the Board of Directors of the Issuer (Exhibit A hereto), regarding the Issuer's October 10, 2025 announcement that it intends to exchange up to an aggregate of 33,298,764 shares of the Class A common stock of Millrose Properties, Inc. owned by the Issuer for outstanding Class A shares of the Issuer. In its letter, GBL, while recognizing the merits of the proposed exchange offer, strongly urged the Board of the Issuer to reconsider its decision to exclude the Issuer's Class B shareholders from the offering.
