Agreement

By accessing 13D Watch or subscribing to any of its plans, you agree to these Terms of Service. If you do not agree, do not use the service. These terms constitute the entire agreement between you and Long Street Consulting, LLC regarding your use of 13D Watch.

Not investment advice

13D Watch is a research-data product, not a financial advisor. Nothing published on this site, delivered by email, or returned by the API constitutes investment advice, a recommendation to buy or sell any security, or an offer or solicitation of any investment product.

The activist filings, insider cross-references, institutional consensus, short interest, three-factor signal, and macro context layer reflect our processing of publicly available SEC, FINRA, FRED, and congressional disclosure data. They document observable conditions; they do not predict outcomes.

You should consult a qualified financial professional before making any investment decision. We expressly disclaim liability for any investment decision made in reliance on content delivered by 13D Watch.

Subscription access

Standard subscriptions grant one named user seat. Pro subscriptions grant up to three named user seats. Seats are personal and non-transferable. You may not share API credentials, login credentials, or licensed feed content with anyone outside your assigned seats.

Multi-seat plans for teams larger than three, and custom data licensing for fund-of-funds and research aggregators, are available. Contact [email protected].

Payment and cancellation

Subscriptions are billed through Stripe. Annual plans are billed once per year. Monthly plans are billed each calendar month. All prices are in US dollars.

You may cancel at any time by contacting [email protected]. Cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for unused time on annual plans, except where required by applicable law.

We reserve the right to change subscription pricing. We will provide at least 30 days notice of any price increase to active subscribers before the change takes effect.

Public preview

The public-facing site and the unauthenticated /api/feed endpoint return metadata for a limited set of the most-recent filings. The full enriched feed — insider cross-reference, institutional consensus, short interest, three-factor signal, and macro context — is available only to active paid subscribers.

Intellectual property

The data pipeline, enrichment logic, three-factor signal, scoring, watchlist infrastructure, and product code are the intellectual property of Long Street Consulting, LLC. Underlying SEC filings, Form 4 transactions, FINRA short interest, FRED macro series, and congressional disclosures remain public-domain records of their respective issuers.

You may not republish, redistribute, resell, or systematically extract the enriched feed or API output without written permission. Per-filing references with attribution are permitted.

Limitation of liability

To the fullest extent permitted by law, Longstreet Research and 13dwatch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, or from any investment or other decision made based on content published here.

Our aggregate liability to you for any claim arising under these terms shall not exceed the amount you paid for your subscription in the twelve months preceding the claim.

Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Kentucky.

Changes to these terms

We may update these Terms from time to time. We will notify subscribers of material changes by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
