The purpose of the Distribution was to transfer certain assets from Meliga No. 1 LP to its parent entities for no consideration, as part of an ongoing estate-planning restructuring process. As a result of this transaction, all shares of Common Stock previously held by Meliga No. 1 LP were fully distributed to Meliga No. 1 Corp. Except as set forth herein, the Reporting Persons have no current intention, plan or proposal with respect to items 4(a) through (j) of Schedule 13D.
