Item 4 — Purpose of Transaction
On June 5, 2026 (the "Closing Date"), the Reporting Person, completed the purchase of 3,000,000 shares of Common Stock of the Issuer (representing approximately 74.2% of the issued and outstanding shares of Common Stock) for an aggregate purchase price of $750,000 of his own personal funds. In connection with the transaction, all of the officers and directors of the Issuer resigned on the Closing Date and they appointed new officers and directors of the Issuer chosen by the Reporting Person. While the Reporting Person may, in the future, either directly or indirectly, cause the Issuer to enter into a transaction involving a future acquisition of a compatible business, which could result in his acquiring, either directly or indirectly, additional shares of the Issuer's common stock, the Reporting Person does not currently have any contracts, arrangements or understandings for the consummation of any such transaction. Except as otherwise described in this Schedule 13D, the Reporting Person currently has no plans or proposals that relate to or would result in: (a) the acquisition by any person of additional securities of the Issuer, or the disposition of securities of the Issuer; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Issuer or any of its subsidiaries; (c) a sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries; (d) any change in the present Board of Directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the Board except as may be required for the Issuer to comply with exchange listing requirements with respect to the number of independent directors; (e) any material change in the present capitalization or dividend policy of the Issuer; (f) any other material change in the Issuer's business or corporate structure; (g) any changes in the Issuer's charter or by-laws or other actions which may impede the acquisition or control of the Issuer by any person; (h) causing a class of securities of the Issuer to be delisted from a national securities exchange or cease to be authorized to be quoted in an interdealer quotation system of a registered national securities association; (i) causing a class of equity securities of the Issuer to become eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934; or (j) any action similar to those enumerated above.
