Item 4 of Schedule 13D is hereby amended by adding the below paragraph as the last paragraph of Item 4: On July 27, 2026, DEFJ submitted a notice (the "Notice") to the Company providing that it waived the Beneficial Ownership Limitation (as defined in the Certificate of Designation) set forth in Section 6.3.3 of the Certificate of Designation, effective as of the 60th day subsequent to the date of the Notice (the "Beneficial Ownership Limitation Waiver"). DEFJ plans to convert its shares of Series A Preferred Stock and Series B Preferred Stock into shares of Common Stock following effectiveness of the Beneficial Ownership Limitation Waiver. Upon conversion of its Series A Preferred Stock and Series B Preferred Stock, DEFJ will constitute the controlling shareholder of the Company.
